CUSTOMER TERMS & CONDITIONS (FOR APP USAGE)

^{By accessing or using My DirectDeal (“Platform”), you (“Customer” or “User”) agree to the following Terms:}

1. PLATFORM ROLE

• The Platform is a digital marketplace/intermediary that connects Customers with independent Vendors.
• The Company does not provide any services or sell any goods listed on the Platform.
• All services and goods are provided directly by Vendors.

2. USER REGISTRATION & ACCOUNT

• You agree to provide accurate and complete information.
• You are responsible for maintaining the confidentiality of your login credentials.
• The Company reserves the right to suspend or terminate accounts in case of misuse or false information.

3. NATURE OF TRANSACTIONS

• All transactions are directly between Customer and Vendor.
• The Platform is not a party to any transaction.
• Any agreement for service or sale is strictly between you and the Vendor.

4. PRICING & PAYMENTS

• Prices are determined solely by the Vendors.
• The Platform is not responsible for:
• Pricing disputes
• Payment failures
• Refunds or cancellations

5. DISCLAIMER OF LIABILITY (KEY CLAUSE)

You expressly acknowledge and agree that:

• The Platform acts only as a facilitator/intermediary.
• The Company shall not be responsible or liable for:
• Quality, safety, or legality of goods/services
• Any defects, delays, or deficiencies
• Any loss, damage, or injury caused by Vendors
• Any disputes between Customer and Vendor
• The Company does not guarantee:
• Accuracy of Vendor listings
• Availability or performance of services
• Outcome or satisfaction from any service
• All risks arising from transactions are solely between Customer and Vendor.

6. NO WARRANTY

• The Platform is provided on an “as is” and “as available” basis.
• No warranties (express or implied) are provided regarding:
• Reliability
• Accuracy
• Availability

7. USER CONDUCT

You agree not to:

• Use the Platform for any illegal or fraudulent purpose
• Provide false or misleading information
• Interfere with the functioning of the Platform

8. INDEMNITY

You agree to indemnify and hold harmless the Company from any claims, losses, or damages arising out of:

• Your use or misuse of the Platform
• Any disputes with Vendors
• Violation of these Terms

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• The Company shall not be liable for any indirect, incidental, or consequential damages.
• Total liability (if any) shall be limited to the extent permitted under applicable law.

10. TERMINATION

• The Company may suspend or terminate your access at any time for violation of these Terms or misuse of the Platform.

11. GOVERNING LAW & JURISDICTION

• These Terms shall be governed by the laws of India.
• Courts at Nagpur, Maharashtra shall have exclusive jurisdiction.

12. MODIFICATIONS

• The Company may update these Terms at any time.
• Continued use of the Platform constitutes acceptance of revised Terms.

13. ACCEPTANCE

By using the Platform or clicking “I Agree”, you confirm that:

• You have read and understood these Terms
• You agree to be legally bound.

VENDOR TERMS & CONDITIONS (FOR APP REGISTRATION)

By clicking “I Agree” and registering on My DirectDeal (“Platform”), you (“Vendor”) agree to the following Terms:

1. PLATFORM ROLE

• The Platform is only a digital marketplace/intermediary connecting Vendors and Customers.
• The Company does not provide any services or goods listed on the Platform.

2. VENDOR REGISTRATION

• You must provide accurate and complete details.
• You are responsible for maintaining your account credentials.
• The Company may verify, suspend, or remove your account at its discretion.

3. VENDOR RESPONSIBILITIES

You agree that:

• You will comply with all applicable laws, licenses, and regulations.
• All services/goods listed are genuine, lawful, and accurately described.
• You are solely responsible for:
• Service quality
• Product delivery
• Pricing
• Customer support

4. PRICING & PAYMENTS

• Pricing is decided solely by you (Vendor).
• The Platform is not responsible for any payment disputes with Customers.
• Any applicable platform fees/commission will be as agreed separately.

5. CUSTOMER DEALINGS

• All transactions and communication are directly between Vendor and Customer.
• The Platform is not a party to any transaction.

6. DISCLAIMER OF LIABILITY (KEY CLAUSE)

You expressly agree that:

• The Platform is only a facilitator and not responsible for:
• Any services rendered or goods supplied by you
• Quality, defects, delays, or performance issues
• Any loss, damage, injury, or claims by Customers
• The Company does not guarantee:
• Customer enquiries or business volume
• Payment collection from Customers
• You (Vendor) are solely liable for:
• All services/goods provided
• Customer satisfaction
• Legal compliance

7. INDEMNITY

You agree to indemnify and hold harmless the Company from any claims, losses, damages, or legal actions arising due to:

• Your services/products
• Customer disputes
• Violation of laws or these Terms

8. ACCOUNT SUSPENSION / TERMINATION

The Company may suspend or terminate your account if:

• You provide false information
• You receive repeated complaints
• You violate these Terms

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• The Company shall not be liable for any indirect, incidental, or consequential damages.
• Total liability (if any) shall be limited to fees paid by Vendor to the Platform.

10. INTELLECTUAL PROPERTY

• You shall not use the Platform’s name, logo, or brand without permission.

11. GOVERNING LAW

• These Terms shall be governed by the laws of India.

12. UPDATES TO TERMS

• The Company may update these Terms at any time. Continued use means acceptance of revised Terms.
